In summary… the act is intended to help prevent financial crimes and other illicit activities by requiring companies to disclose information about their owners and those who control them.
Why is this important to you…
The CTA requires corporations, limited liability companies, and other similar entities to file Beneficial Ownership Information (BOI) reports with the Financial Crimes Enforcement Network (FinCEN). In some situations, a sole proprietorship needs to file as well.
The law requires a company newly formed in 2024 to file within 90 days of beginning of operation. For companies in existence before 2024, the filing needs to occur during 2024.
There can be significant financial penalties for not filing, so if needed and not done already, this is something that should be taken care of.
